Information educates businesses about strategy, technology, and other considerations affecting their Intranet, and includes topic-focused reports available for purchase (the “Service” or “Reports”).

Please read the following terms of use carefully. We reserve the right to modify these terms at any time, so please check this page periodically for changes. By using these sites after we post any changes to these terms, you agree to accept those changes, whether or not you have reviewed them or been notified about them. If at any time you choose not to accept these terms of use, please do not use this site or any of our sites.

WE ARE NOT A CONSULTANT

Using a Product does not create a Consultant-Client relationship between you and Straighten The Maze LLC. or their founders. Customized strategic or technical advice is not provided within the Products.

Neither receipt of information presented on our Sites nor any eMail or other electronic or personal communication to Straighten the Maze, LLC., or its founders will create a Consultant – Client relationship. No person should act, or refrain from acting on the basis of information included in our Products without first consulting technical experts.

RESTRICTIONS

The contents of our Reports, and Sites are protected by copyright and trademark laws, and are the property of Straighten The Maze LLC. All information on the Sites is copyrighted by Straighten The Maze LLC. Unless otherwise noted, you may access and use the information and materials within the Sites for your personal use. You may not change, modify, delete, display, transmit, adapt, exploit, or copy for distribution or sale any information, material, trademark, or copyright on the Sites.

Except as otherwise noted in the Site Permission Policy published on StraightenTheMaze.com, or in the Licensed Use section of these Terms and Conditions, you must obtain written permission from us before you may publish, distribute, display, or commercially exploit any material from the Sites or Products. By using the Sites or Products, you agree to abide by all copyright notices or other posted restrictions.

LICENSED USE

All downloadable Products whether paid or free, are licensed for use.  Straighten The Maze LLC remains the sole owner of all licensed products.

Fees

License Step-Up

In cases where actual use requires a more expansive license than has been purchased, purchasers are expected to step-up their license.  Payment for Step-up is due at the time the purchaser begins using the product beyond their license.  Step-up price is the difference between the price paid and the current published rate for the expanded license.  Discounts are not applicable to step-ups.  No licenses are eligible for stepping-down.

Upgrades and Improvements

From time to time we may update or otherwise improve licensed products.  We intend on sharing these with existing customers free-of-charge.  If the technology changes significantly, requiring vast re-writes of the product, we reserve the right to charge an update fee for access to the updated product.

We are not obligated, in any way to update products.

Non-exclusive License

All Straighten The Maze LLC licensing is non-exclusive, regardless of whether stated or not.  All rights granted to Purchasers are non-exclusive rights to use.

License Options

WORKFORCE – The term “workforce” means employees, on-site contractors, and others who are essentially treated as employees, it specifically excludes engagement-based contractors.

PURCHASING ORGANIZATION: The term “Purchasing Organization” is the company that is entered in the “Company” field at the time of purchase or download (collectively “Purchaser,” “Purchasing Company,” “Purchasing Organization” or “Organization”).

Organization License

Non-exclusive right for use by one company and their workforce.  Distribution, whether printed or electronic is limited to the workforce of the purchasing organization.  Purchaser may make as many backup copies as needed, as long as access to backup copies is limited to the workforce of the purchasing organization.  Files may be stored on a shared drive, your intranet, or a password protected web site, as long as access is limited to the workforce of the purchasing organization.  You may alter provided working files in any way.  You may not alter Reports.  On-screen presentation, sharing, and display is allowed as long as all individuals viewing are within the workforce of the licensed organization.  Sharing with any consultant, freelance, or contractor is specifically not allowed.

Organization Plus License

All usage rights as outlined in the Organization License, plus the right to share with individuals that are outside the workforce, who are specifically engaged by the Company to assist and advise on their Intranet. You may not share with outside individuals until they are formally engaged.  Sharing is limited to those individuals that are hands-on with the engagement.  Individuals outside the workforce must be informed that the information is copyrighted, and they cannot share with anyone outside the engagement, including individuals within their own company.

Individual License

Non-exclusive right for use by one named individual.  License is not transferrable to any other individual in the same organization, or in any other organization.  Purchaser may not give electronic or printed copies to other people, all distribution whether printed or electronic is specifically not allowed.  Purchaser may make backup copies as long as they are only accessed by the same named individual.  You may not place files on an intranet, shared drive, the public Internet, or any other file sharing or file distribution mechanism where other people can access it.  You may print one copy, if that copy is destroyed, you are allowed to print a replacement.  You may not alter any provided working files, or Reports in any way.  You may not present any of the information, files or their derivatives.  Presenting or any other form of shared viewing is specifically excluded from the individual license.  Some Products include customizable presentations, under this license, they are provided for informational purposes only, and my not be altered or displayed.

Consultant Organization License

All usage rights as outlined in the Organization License, plus the right to share with a single Customer engagement.  A customer engagement is defined as one project, or a series of related projects whose scope includes strategic planning and execution of a new Intranet.  You may not share with the customer until formally engaged.  Customer sharing is limited to those individuals who are hands-on with the Intranet project(s).  All individuals, including your own workforce and customer team, that any information is shared with must be informed that the information is copyrighted, and they cannot share with anyone outside the company or engagement.

Given this fact, we ask that you refrain from submitting creative projects to us, particularly those that are confidential or personal to you.

FORUMS

A “forum” means any blog comments, message board, chat room, user review forum or other interactive service appearing on any of the Sites or in public boards and private forums. You may not post on any forum, or send to any other forum user or our staff, any material that is abusive, vulgar, threatening, harassing, libelous, defamatory, obscene, invades a person’s privacy, violates any intellectual or other property rights, or that would otherwise violate any law.

You may not post material known to be false. You may not post messages that contain touts. You may not post or transmit any information, software or other material that contains a virus or other harmful component.

We are not responsible for material appearing in any forum on the Sites, except for material signed by one of our identified representatives. We are not responsible for screening material posted by users for libel, obscenity, invasion of privacy, copyright or trademark infringement, accuracy, or for any other reason. These terms will be governed by and construed in accordance with the laws of the State of Illinois, without regard to any principles of conflicts of law. You agree that any action at law or inequity that arises out of or relates to these terms will be subject to mediation in the State of Illinois. If any of these terms of use are found unlawful, void, or for any reason unenforceable, then that provision will be considered severable from the remaining terms of use, and will not affect the validity and enforce-ability of the remaining provisions.
